The following steps are important in creating an LLC:
a. Choose a state where the LLC will be doing most of its business.
b. Select a name. It is important to make sure the state's statute governing the LLC is met and the name is not already being used. The words limited liability company or the abbreviation LLC or other language approved by ULLCA Section 105(a) should be used, as adopted by the state statute. Reserve the name by filing the application with the secretary of state, following a determination of whether the proposed company name is federally trademarked by another company.
c. Under the Uniform Limited Liability Company Act (ULLCA), an LLC may be formed by one or more persons by delivering articles of organization to the secretary of state. The LLC comes into existence at the time of filing by the secretary (ULLCA Section 202).
