Discuss some of the pros and cons of having the CEO and chair positions split
What will be an ideal response?
Debate continues as to the wisdom of an "independent chair" structure in American corporate culture. Corporations
are generally resistant to the idea of separating the two positions. The two roles are actually quite distinct, and
there is a movement to separate the two jobs. When the roles are split, it is critical that the board chair not take
operational roles, just as the CEO shouldn't attempt to run the board. The logic for combining the posts includes
the need for specialized information that an outsider could not have and a lack of qualified candidates. The logic
for splitting is monitoring: One cannot effectively serve as referee and player at the same time. Many critics of U.S.
corporate governance practices believe, however, that true board independence may ultimately?within the next
decade?require a serious reexamination of this historic combination of powers.
